In these Terms of Service, unless a clear contrary intention appears: (a) the singular includes the plural and vice versa; (b) the words including, includes, and include shall be deemed to be followed by the phrase without limitation; (c) headings and subheadings are inserted for convenience of reference only and do not form part of or affect the interpretation of these Terms; (d) reference to any statute, regulation, or other statutory instrument includes all amendments, modifications, consolidations, replacements, and re-enactments thereof; (e) reference to days shall mean calendar days unless business days are expressly specified; (f) the words hereof, herein, hereto, hereby, and hereunder refer to these Terms of Service as a whole and not to any particular clause or subsection; and (g) any obligation not to do something includes an obligation not to suffer, permit, or cause that thing to be done.

God Is Good Builders, LLC provides a comprehensive suite of professional technology services under the trade name Good Build. Our core service offerings include: (a) computer integrated systems design and architecture planning, encompassing the analysis of client requirements, the development of system specifications, and the creation of integration blueprints for hardware, software, and network components; (b) information technology consulting and strategic advisory services, including technology roadmaps, digital transformation planning, vendor evaluation, and procurement guidance; (c) network architecture, design, and engineering for local area networks, wide area networks, wireless infrastructure, and secure remote access solutions; (d) cloud infrastructure architecture, migration, management, and optimization across public, private, and hybrid cloud environments; (e) DevOps consulting and implementation, covering continuous integration and continuous delivery pipeline design, infrastructure as code, containerization, orchestration, and observability; (f) software integration services connecting disparate enterprise systems, platforms, databases, and APIs to create cohesive operational workflows; (g) cybersecurity assessment, compliance advisory, and security architecture design aligned with recognized frameworks and standards; and (h) custom software development, website design and development, domain registration, hosting management, and ongoing maintenance and support services.

3.2 Service-Specific Agreements

Certain services offered by Good Build may require the execution of a separate written agreement, statement of work, project charter, service order, or engagement letter that sets forth the specific scope of work, deliverables, timelines, milestones, fees, and acceptance criteria applicable to that engagement. In the event of any conflict between these Terms of Service and the terms of any such separate agreement, the terms of the separate agreement shall prevail with respect to the specific engagement to which it relates. No separate agreement shall be deemed to amend or supersede these Terms of Service except to the extent expressly stated in that separate agreement and acknowledged in writing by both parties. All services are subject to availability, and Good Build reserves the right to decline to provide any service to any person or entity at any time without obligation to state a reason.

3.3 Modifications to Services

Good Build reserves the right, in its sole discretion, to modify, suspend, discontinue, add, or remove any service, feature, content, or functionality offered on or through the website at any time without prior notice to you. We may also impose limits on certain features, restrict access to parts of the website or services, or modify the technical specifications, system requirements, or supported platforms for our services at any time without liability to you or any third party. Where a modification materially affects an ongoing paid engagement for which a separate written agreement is in place, Good Build will make commercially reasonable efforts to provide advance notice and to work with the affected client to address any resulting impact on the engagement.

4.1 Account Creation Requirements

Access to certain features, areas, or services of the Good Build website may require you to create a user account. When you create an account, you agree to provide accurate, current, complete, and truthful information as prompted by the registration form and to maintain and promptly update that information to keep it accurate, current, and complete at all times. You must be at least eighteen years of age or the age of legal majority in your jurisdiction to create an account. If you are creating an account on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms of Service, in which case the terms you and your shall refer to that entity. Good Build reserves the right to suspend or terminate any account that contains false, inaccurate, outdated, or incomplete information, or that is created or used in violation of these Terms.

4.2 Account Security and Credentials

You are solely and fully responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any other authentication factors. You agree to immediately notify Good Build of any unauthorized use of your account, any breach of security, or any other compromise of your credentials of which you become aware. You acknowledge and agree that you will be responsible for all activities, transactions, and conduct that occur under your account, whether authorized by you or not, and that Good Build shall have no liability for any loss or damage arising from your failure to adequately protect your account credentials, your failure to comply with the security requirements set forth in this clause, or any unauthorized access to or use of your account resulting from such failure.

4.3 Account Termination by User

You may close your account and terminate your registration with Good Build at any time by sending a written request to team@thdhub.mom. Upon receipt of your termination request, Good Build will process the closure of your account within a commercially reasonable timeframe. Please note that account termination does not relieve you of any obligation to pay fees or charges accrued or payable to Good Build prior to the effective date of termination, nor does it relieve you of any obligations, representations, warranties, or liabilities that by their nature survive termination. Good Build may retain certain information associated with your account as required by applicable law, for legitimate business purposes, or in accordance with our Privacy Policy and data retention practices.

5.1 General Obligations

You agree to use the Good Build website and services only for lawful purposes and in accordance with all applicable local, state, national, and international laws, statutes, ordinances, regulations, treaties, and directives. You shall not use the website or services in any manner that could damage, disable, overburden, impair, or interfere with the functioning of the website or any other party's use and enjoyment of the website. 5.3 Compliance with Laws

You represent and warrant that your use of the Good Build website and services will at all times comply with all applicable laws, rules, and regulations, including those governing data protection and privacy, electronic communications, export controls, consumer protection, unfair competition, and anti-corruption. You acknowledge that the website and services may be subject to United States export control and economic sanctions laws and agree to comply with all such laws. All right, title, and interest in and to the Good Build website, including but not limited to all content, design elements, graphics, user interfaces, visual layouts, compilations, software code, scripts, databases, trademarks, service marks, logos, trade names, domain names, and all other intellectual property embodied in, displayed on, or accessible through the website, together with all modifications, enhancements, derivative works, and updates thereof, are and shall remain the sole and exclusive property of God Is Good Builders, LLC and its licensors. Subject to your full and continuing compliance with these Terms of Service, Good Build grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the website and its content solely for your personal, non-commercial use or, if you are a business client, for your internal business purposes in connection with evaluating and engaging our services. This license does not include any right to: (a) download, copy, reproduce, modify, distribute, transmit, broadcast, display, sell, license, or otherwise exploit the website content for any purpose other than as expressly permitted; (b) use any data mining, robots, or similar data gathering or extraction methods; (c) use the website or any content for any commercial purpose not expressly authorized by Good Build in writing; or (d) remove, alter, or obscure any copyright, trademark, or other proprietary notices appearing on the website. Any use of the website not expressly permitted by these Terms is strictly prohibited and may violate intellectual property laws and other applicable laws.

6.3 Client Deliverables and Work Product

Unless otherwise expressly agreed in a separate written agreement signed by both parties, all deliverables, work product, documentation, designs, code, configurations, reports, and other materials created by Good Build in the course of performing services for a client shall remain the property of Good Build until full payment for such services has been received. Upon receipt of full payment, ownership of final deliverables specifically created for the client under a written statement of work shall transfer to the client as specified in the applicable agreement. Notwithstanding the foregoing, Good Build retains all right, title, and interest in and to any pre-existing materials, tools, methodologies, frameworks, libraries, templates, know-how, and general knowledge used by Good Build in performing the services, even if such pre-existing materials are incorporated into or used in connection with client deliverables, and nothing in these Terms or any separate agreement shall be interpreted to transfer ownership of such pre-existing materials to the client.

6.4 Copyright Infringement Notification

Good Build respects the intellectual property rights of others and expects its users to do the same. If you believe that any content on our website infringes your copyright, you may submit a written notification to our designated copyright agent at team@thdhub.mom. Your notification must contain: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing, with sufficient detail to permit us to locate it on the website; (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement under penalty of perjury that the information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. Upon receipt of a valid notification, Good Build will take appropriate action, which may include removing or disabling access to the allegedly infringing material.

7.1 Responsibility for User Content

7.2 License to User Content

By submitting content to or through the Good Build website, you grant to God Is Good Builders, LLC a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such content in any media, format, or distribution channel now known or hereafter developed, for any purpose related to the operation, promotion, improvement, and expansion of the Good Build website and services. You also grant each user of the website a non-exclusive license to access and view your content through the website as permitted by these Terms. You waive any moral rights or similar rights you may have in any jurisdiction with respect to your content, to the fullest extent permitted by applicable law.

7.3 Unsolicited Ideas and Submissions

Good Build shall have no obligation concerning such submissions, whether of confidentiality, compensation, attribution, or otherwise, and shall be free to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit such submissions for any purpose without restriction or obligation to you. You agree that you will not submit any information or materials that you consider to be confidential, proprietary, or trade secret unless such submission is made pursuant to a separate written non-disclosure agreement executed by both you and Good Build.

8.1 Fees and Charges

Fees for Good Build services are established on a per-engagement basis and will be set forth in the applicable statement of work, service order, project proposal, invoice, or other written agreement between you and Good Build. All fees are quoted and payable in United States dollars unless otherwise expressly stated in writing. Good Build reserves the right to modify its fee schedules, rates, and pricing structures at any time. Any fee change will not affect services for which you have already paid in full prior to the effective date of the change, unless otherwise agreed in writing. You are responsible for reviewing all applicable fees before engaging any service. All fees are exclusive of taxes, levies, and duties imposed by any taxing authority, and you shall be responsible for payment of all such amounts, excluding only taxes based on Good Build's net income.

8.2 Payment Terms

Payment terms for each engagement will be specified in the applicable agreement, statement of work, or invoice. Unless otherwise stated, invoices are due upon receipt and must be paid within thirty calendar days of the invoice date. Late payments shall accrue interest at the lesser of one and one-half percent per month or the maximum rate permitted by applicable law, calculated from the due date until the date payment is received in full. You agree to reimburse Good Build for all costs and expenses, including reasonable attorneys' fees and collection agency fees, incurred by Good Build in collecting any overdue amounts. Good Build reserves the right to suspend or terminate the provision of services if any payment is past due for more than fifteen calendar days following written notice to you.

8.3 Refund Policy

All fees paid to Good Build for services rendered are non-refundable unless otherwise expressly provided in a separate written agreement or required by applicable law. Any request for a refund must be submitted in writing to team@thdhub.mom and will be evaluated on a case-by-case basis. Good Build may, in its sole discretion, issue credits or refunds in circumstances where it determines such action to be warranted, but under no circumstances shall Good Build be obligated to issue a refund absent a specific contractual commitment to do so. For subscription-based or recurring services, you may cancel your subscription or recurring payment arrangement at any time, but no refund will be provided for any portion of the current billing period that has already elapsed.

9.1 Third-Party Links and Resources

The Good Build website and services may contain links to third-party websites, platforms, applications, services, and resources that are not owned, operated, or controlled by God Is Good Builders, LLC. These links are provided solely for your convenience and as a courtesy. Good Build does not endorse, recommend, warrant, or assume any responsibility for the content, privacy policies, terms of service, products, services, or practices of any third-party websites or resources. 10.1 Definition of Confidential Information

For purposes of these Terms of Service, Confidential Information means any information, data, or material of whatever nature, whether disclosed orally, in writing, electronically, or in any other form, that is designated by the disclosing party as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure. Confidential Information includes, but is not limited to: trade secrets, business plans, financial information, client lists, technical specifications, source code, algorithms, system designs, architectural diagrams, security protocols, passwords, API keys, network configurations, internal documentation, and any information relating to a party's operations, strategies, pricing, or personnel that is not generally known to the public. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already in the lawful possession of the receiving party prior to disclosure, as evidenced by the receiving party's written records; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is rightfully obtained by the receiving party from a third party without any obligation of confidentiality.

10.2 Obligations of Confidentiality

Each party agrees to hold the other party's Confidential Information in strict confidence and to take all reasonable precautions to protect such Confidential Information, using at least the same degree of care that it employs to protect its own confidential information of a similar nature, but in no event less than a reasonable degree of care. Neither party shall disclose the other party's Confidential Information to any third party without the disclosing party's prior written consent, except: (a) to its employees, officers, directors, agents, consultants, subcontractors, and legal and financial advisors who have a legitimate need to know such information for the performance of their duties and who are bound by confidentiality obligations at least as protective as those set forth in these Terms; or (b) as required by applicable law, regulation, or legal process, provided that the receiving party, to the extent legally permitted, promptly notifies the disclosing party of such requirement and cooperates with the disclosing party in seeking a protective order or other appropriate remedy.

10.3 Data Protection and Privacy

The collection, use, storage, disclosure, and protection of personal data that you provide to Good Build or that Good Build collects in the course of providing services is governed by our Privacy Policy, which is expressly incorporated into these Terms of Service by reference. By using the website and services, you acknowledge that you have read and understand our Privacy Policy and consent to our data practices as described therein. If you are a business client providing personal data of third parties to Good Build, you represent and warrant that you have obtained all necessary consents, provided all required notices, and have a lawful basis for disclosing such personal data to Good Build for the purposes of providing the services.

11.1 No Warranties; As-Is Basis

To the fullest extent permitted by applicable law, the aggregate, total, and cumulative liability of God Is Good Builders, LLC and its affiliates, officers, directors, employees, agents, contractors, suppliers, and licensors for all claims, losses, damages, liabilities, costs, and expenses of any kind arising out of or relating to these Terms of Service, the website, or the services, whether in contract, tort, strict liability, or any other legal theory, shall in no event exceed the greater of: (a) one hundred United States dollars, or (b) the total amount of fees actually paid by you to Good Build during the twelve-month period immediately preceding the event giving rise to the claim. Nothing in these Terms of Service shall exclude or limit the liability of either party for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter for which it would be illegal or unlawful to exclude or limit, or to attempt to exclude or limit, liability under applicable law.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Good Build. Good Build shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms of Service, for any failure or delay in fulfilling or performing any obligation hereunder when and to the extent such failure or delay is caused by or results from acts or circumstances beyond Good Build's reasonable control, including but not limited to: acts of God; flood, fire, earthquake, epidemic, pandemic, public health emergency, or other natural disaster; war, invasion, act of foreign enemies, hostilities, civil unrest, riot, insurrection, revolution, or military action; terrorist attacks or threats; national or regional emergency; strikes, labor stoppages, slowdowns, or other industrial disturbances; interruption, failure, or degradation of utility, telecommunications, Internet, or cloud infrastructure services not caused by Good Build; government orders, laws, regulations, embargoes, or actions; and supply chain disruptions or shortages. Good Build shall use commercially reasonable efforts to resume performance as soon as reasonably practicable under the circumstances.

16.7 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and Good Build. Good Build is and shall remain an independent contractor in its relationship with you. Neither party shall have the right, power, or authority to bind the other party, to incur any obligation or liability on behalf of the other party, or to make any representation, warranty, or commitment on behalf of the other party, except as expressly authorized in writing by the other party. Each party shall be solely responsible for its own costs, expenses, taxes, and compliance with all laws applicable to its own business and operations.
