You agree to defend, indemnify, and hold harmless God Is Good Builders, LLC, its affiliates, and each of their respective officers, directors, shareholders, employees, agents, contractors, suppliers, licensors, successors, and assigns from and against any and all claims, demands, causes of action, suits, proceedings, investigations, damages, losses, liabilities, judgments, awards, settlements, costs, and expenses of any nature, including without limitation reasonable attorneys' fees and court costs, arising out of or relating to: (a) your use of or access to the website or services; (b) your violation or breach of any provision of these Terms of Service; (c) your violation of any applicable law, rule, or regulation; (d) your violation or infringement of any third-party right, including any intellectual property right, privacy right, or publicity right; (e) any content or material you submit, post, upload, share, display, or transmit to or through the website; (f) any negligent, reckless, or intentionally wrongful conduct by you or any person acting on your behalf or using your account; or (g) any dispute between you and any third party arising from or relating to your use of the website or services.

13.2 Indemnification Procedure

Good Build will provide you with prompt written notice of any claim for which indemnification is sought, provided that any delay or failure to provide such notice shall not relieve you of your indemnification obligations except to the extent you are actually and materially prejudiced by such delay or failure. Good Build reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate fully with Good Build in asserting any available defenses and shall not settle or compromise any such matter without Good Build's prior written consent. Your indemnification obligations under this clause shall survive the termination or expiration of these Terms of Service and your cessation of use of the website and services.

Clause 14

Termination and Suspension

14.1 Termination by Good Build

Good Build reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your access to the website and services, in whole or in part, at any time, with or without cause, and with or without prior notice. Grounds for such suspension or termination may include, but are not limited to: (a) your violation or breach of any provision of these Terms of Service or any incorporated policy or agreement; (b) your engagement in any conduct that Good Build, in its sole judgment, deems to be harmful, illegal, fraudulent, abusive, or detrimental to Good Build, its users, its business interests, or any third party; (c) your failure to pay fees when due or your engagement in any fraudulent payment activity; (d) a request by law enforcement or other government authority; (e) unexpected technical or security issues or problems; or (f) discontinuance or material modification of the website or services, in whole or in part. You agree that Good Build shall not be liable to you or any third party for any suspension or termination of your access to the website or services.

14.2 Effect of Termination

Upon termination of your access to the website or services, all rights, licenses, and permissions granted to you under these Terms of Service shall immediately and automatically terminate. You must immediately cease all use of the website and services, destroy all copies of any content or materials obtained from the website in your possession or control, and, if requested by Good Build, certify in writing that you have done so. Any fees paid by you to Good Build prior to termination are non-refundable, and you shall remain liable for any fees, charges, or other obligations that have accrued or become due prior to the effective date of termination. The termination of these Terms of Service shall not affect any rights or obligations that have accrued prior to the date of termination or that by their nature are intended to survive termination, including but not limited to the provisions relating to intellectual property, confidentiality, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution.

Clause 15

Governing Law and Dispute Resolution

15.1 Governing Law

These Terms of Service and any dispute, claim, controversy, or proceeding arising out of or relating to these Terms, the website, or the services shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law principles or rules that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service or any transactions or interactions between you and Good Build. You agree that the federal and state courts located in Box Elder County, Utah, shall have exclusive jurisdiction over any legal action or proceeding arising out of or relating to these Terms, and you irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction.

15.2 Informal Dispute Resolution

Good Build values its relationship with its users and clients and is committed to resolving disputes in a fair and efficient manner. Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally. You agree to notify Good Build in writing of the nature and basis of your claim or dispute, including a detailed description of the facts, the specific relief sought, and your contact information, by sending an email to team@thdhub.mom. You and Good Build agree to engage in good faith discussions for a period of not less than sixty calendar days following receipt of such notice in an effort to resolve the dispute amicably without the need for formal legal proceedings. If the dispute cannot be resolved through informal means within that period, either party may then pursue any available legal remedies. This informal dispute resolution procedure is a condition precedent to the initiation of any formal legal action.

15.3 Waiver of Class Actions and Jury Trial

To the fullest extent permitted by applicable law, you and Good Build agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Good Build. You further waive any right to a trial by jury in any legal proceeding arising out of or relating to these Terms of Service, the website, or the services. This waiver applies regardless of whether the dispute is heard in court or in any other forum. You acknowledge that you have read and understood this waiver and that you are voluntarily and knowingly giving up the right to participate as a class representative or class member in any class action or representative proceeding and the right to have any dispute decided by a jury.

15.4 Limitation Period

You agree that any claim, cause of action, or proceeding arising out of or relating to these Terms of Service, the website, or the services must be commenced within one year after the claim or cause of action accrues. Failure to commence such action within the one-year period shall result in the claim or cause of action being permanently barred, and you irrevocably waive any right to assert such claim after the expiration of the one-year period. This limitation period applies to the fullest extent permitted by applicable law and supersedes any longer statute of limitations that might otherwise apply.

Clause 16

General Provisions and Contact Information

16.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate written agreements, statements of work, or other documents expressly incorporated by reference, constitute the entire and exclusive agreement between you and God Is Good Builders, LLC with respect to the subject matter hereof and supersede and replace all prior and contemporaneous understandings, agreements, communications, representations, and warranties, whether written or oral, relating to such subject matter. No course of dealing, course of performance, or usage of trade shall be used to modify, supplement, or interpret any provision of these Terms. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set forth in these Terms in entering into this agreement.

16.2 Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent as closely as possible. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect without being impaired or invalidated in any way. The invalidity, illegality, or unenforceability of any provision in any jurisdiction shall not affect the validity, legality, or enforceability of such provision in any other jurisdiction or of any other provision of these Terms.

16.3 Waiver

No failure or delay by Good Build in exercising any right, power, or remedy under these Terms of Service shall operate as a waiver of such right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. No waiver by Good Build of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of Good Build. A waiver of any provision on one occasion shall not constitute a waiver of such provision on any other occasion or a continuing waiver. Any rights not expressly granted herein are reserved by Good Build.

16.4 Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms of Service, whether by operation of law or otherwise, without the prior written consent of Good Build, which consent may be granted or withheld in Good Build's sole discretion. Any attempted assignment, transfer, delegation, or sublicense in violation of this provision shall be null and void and of no force or effect. Good Build may freely assign, transfer, delegate, or sublicense these Terms and any of its rights and obligations hereunder, in whole or in part, without your consent, to any affiliate, successor, or acquirer of all or substantially all of the assets or equity of Good Build, whether by merger, acquisition, reorganization, sale of assets, operation of law, or otherwise. These Terms shall be binding upon and inure to the benefit of the parties hereto and their respective permitted successors and assigns.

16.5 No Third-Party Beneficiaries

These Terms of Service are for the sole benefit of you and God Is Good Builders, LLC and are not intended to confer upon any third party any rights, remedies, benefits, or causes of action whatsoever, whether by contract, operation of law, or otherwise. No person or entity who is not a party to these Terms shall have any right to enforce any provision of these Terms, whether under the Contracts (Rights of Third Parties) Act or any analogous legislation in any jurisdiction or otherwise. Nothing in this clause shall be construed to limit the rights of Good Build's affiliates, officers, directors, employees, and agents under the indemnification, limitation of liability, and disclaimer of warranties provisions of these Terms.

16.6 Force Majeure

Good Build shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms of Service, for any failure or delay in fulfilling or performing any obligation hereunder when and to the extent such failure or delay is caused by or results from acts or circumstances beyond Good Build's reasonable control, including but not limited to: acts of God; flood, fire, earthquake, epidemic, pandemic, public health emergency, or other natural disaster; war, invasion, act of foreign enemies, hostilities, civil unrest, riot, insurrection, revolution, or military action; terrorist attacks or threats; national or regional emergency; strikes, labor stoppages, slowdowns, or other industrial disturbances; interruption, failure, or degradation of utility, telecommunications, Internet, or cloud infrastructure services not caused by Good Build; government orders, laws, regulations, embargoes, or actions; and supply chain disruptions or shortages. Good Build shall use commercially reasonable efforts to resume performance as soon as reasonably practicable under the circumstances.

16.7 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and Good Build. Good Build is and shall remain an independent contractor in its relationship with you. Neither party shall have the right, power, or authority to bind the other party, to incur any obligation or liability on behalf of the other party, or to make any representation, warranty, or commitment on behalf of the other party, except as expressly authorized in writing by the other party. Each party shall be solely responsible for its own costs, expenses, taxes, and compliance with all laws applicable to its own business and operations.
